Terms of Service

1. Acceptance of Terms

By accessing or using Gated Financials ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Gated Financials ("we," "us," or "our"), operated as an individual business in California.

2. Description of Service

Gated Financials provides a subscription-based market research platform. The Service includes GF Terminal, a command-driven research workspace, together with supporting systems that may include unusual options activity (UOA) signal alerts, market posture modeling, AI-generated market briefs, and investor intelligence research.

The Service is accessible via gatedfinancials.com and associated domains, and is intended for informational and educational purposes only. Features, systems, and data sources may be added, changed, or removed over time.

3. Not Financial Advice

THE CONTENT PROVIDED BY GATED FINANCIALS, INCLUDING ALL SIGNALS, ALERTS, ANALYSIS, AND COMMENTARY, IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING ON THIS PLATFORM CONSTITUTES FINANCIAL, INVESTMENT, TRADING, OR LEGAL ADVICE.

All trading and investment decisions are made solely at your own risk. Past signal performance does not guarantee future results. Options trading involves significant risk of loss and is not suitable for all investors. You should consult a licensed financial advisor before making any investment decisions. Gated Financials is not a registered investment advisor, broker-dealer, or financial institution.

4. Subscriptions, Billing and Auto-Renewal

Access to premium features requires a paid subscription ("Member"). Member access is offered on two billing cycles: $50.00 USD per month, or $500.00 USD per year. Prices are in U.S. dollars and exclude any applicable taxes. Payments are processed by Stripe; we do not store your card details.

Your subscription renews automatically. Monthly subscriptions renew every month and annual subscriptions renew every year, and your payment method is charged the then-current price for your plan at the start of each new period, until you cancel. By subscribing, you authorize these recurring charges.

You may cancel at any time through your billing portal, reachable from your account while signed in. Cancellation takes effect at the end of the period you have already paid for; you keep access until then, and you are not charged again. Cancelling does not refund the period you are currently in (see Section 5).

We may change subscription pricing with at least 30 days' notice before the change applies to your renewal. If you do not accept a price change, you may cancel before your next renewal date.

5. Refunds

Refunds are available within a limited window following your initial charge:

• —Monthly subscriptions: refundable within 7 days of the initial charge.
• —Annual subscriptions: refundable within 30 days of the initial charge.

After the applicable window has passed, all payments are final and non-refundable. Renewal charges are not refundable. We do not offer credits or prorated refunds for unused time, partial periods, or unused access.

To request a refund within the applicable window, email gatedfinancials@gmail.com from the address associated with your account. Cancelling a subscription stops future renewals but does not by itself issue a refund.

6. User Accounts

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us immediately of any unauthorized use of your account. You must be at least 18 years old to use the Service.

7. License to Access the Terminal

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use GF Terminal and the Service for your own personal use for as long as your subscription remains active.

This license is granted to you as a single individual. Accounts are for one person; they may not be shared, transferred, resold, sublicensed, or used by more than one person. The license terminates automatically when your subscription ends or these Terms are terminated. All rights not expressly granted are reserved.

8. Prohibited Conduct

You agree not to:

• —Share, resell, redistribute, or republish signals, data, or content from the platform
• —Share your account credentials, or allow any other person to access the Service through your account
• —Scrape, crawl, harvest, or use bots, scripts, or other automated means to extract data from the Service
• —Access the Service through any interface other than the one we provide, or use undocumented or private APIs
• —Reverse-engineer, decompile, disassemble, or attempt to derive the source code, models, or logic behind any system
• —Circumvent, disable, or interfere with authentication, rate limiting, tier gating, or any other security or access control
• —Impose an unreasonable or disproportionate load on our infrastructure, or otherwise abuse or disrupt the Service
• —Use the Service to build, train, or improve a competing product or dataset
• —Use the Service for any unlawful purpose, or in violation of any applicable securities law or exchange data agreement
• —Impersonate any person or entity, or misrepresent your affiliation with any person or entity

9. Intellectual Property

All content, signals, branding, software, and technology on the Service are the exclusive property of Gated Financials or its licensors, and are protected by intellectual property laws. No content may be copied, reproduced, or distributed without written permission. Market data supplied by third-party providers remains the property of those providers.

10. Service Availability

We do not guarantee any level of uptime or availability. The Service may be unavailable, interrupted, or delayed at any time, including for maintenance, upgrades, provider outages, or reasons outside our control.

The Service depends on third-party market data sources. Data may be delayed, incomplete, inaccurate, or unavailable, and signals or analysis derived from it may be wrong. Real-time data is provided on a best-effort basis and is not guaranteed to be timely or error-free. You should not rely on the Service as your sole source of market information.

We may modify, suspend, or discontinue any part of the Service, including individual systems or features, at any time. If we permanently discontinue the Service entirely while you hold a paid subscription, we will provide a prorated refund for the remaining unused portion of your then-current period. That is the sole exception to Section 5.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SIGNALS, DATA, OR ANALYSIS WILL BE ACCURATE, TIMELY, OR PROFITABLE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATED FINANCIALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOST PROFITS, OR DATA LOSS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Gated Financials from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or any trading decisions made based on content from the platform.

14. Termination and Suspension

You may terminate these Terms at any time by cancelling your subscription and discontinuing use of the Service.

We may suspend your access immediately, with or without notice, if we reasonably believe your account is involved in a violation of Section 8, a security risk, a payment failure, or fraudulent or unlawful activity. Suspension is temporary while we investigate; we will restore access if the issue is resolved in your favor.

We may terminate your account for cause where you have materially breached these Terms. If we terminate your account for cause, no refund is due, including within the windows described in Section 5.

We may also terminate without cause at our discretion. If we do, we will refund the unused, prorated portion of your then-current paid period. On any termination, your license under Section 7 ends and your access ceases.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California. Nothing in these Terms waives any right you have under applicable consumer protection law that cannot be waived by agreement.

16. Changes to Terms and Contact

We may update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
